Start with the right question.
Which certificate belongs to your entity
A domestic LLC uses DOS-1708-f under § 206; a domestic PLLC uses DOS-1709-f under § 1203; a foreign LLC uses DOS-1707-f under § 802. Each state filing fee is $50. For a foreign PLLC, use the foreign professional-service version under § 1306, also $50.
Official sourceWhat goes in the envelope
Include the cover sheet, signed certificate, daily newspaper affidavit, weekly newspaper affidavit and $50 payment, plus optional DOS expedite. The affidavits are each newspaper's sworn proof: collect originals from both papers. A member, manager or authorized person signs the domestic LLC certificate under penalty of perjury. The LLC name and articles filing date must match DOS records exactly.
Official sourceDeadline and filing address
Proof is due within 120 days after the articles or application for authority take effect. Mail to Division of Corporations, One Commerce Plaza, 99 Washington Ave, Albany NY 12231. Optional DOS expedite is $25 for 24 hours, $75 for same day (received by noon), or $150 for two hours (by 2:30 p.m.); the expedite fee is charged even if rejected.
Official sourceFiled late? Finish the filing
Missing the 120-day deadline suspends authority to carry on business. Filing the certificate with the affidavits later annuls the suspension. The law's remedy is filing; ask your attorney about contracts signed during suspension.
Official sourceThe narrow theatrical exemption
Theatrical production LLCs with limited liability company in their name are exempt under Arts & Cultural Affairs Law § 23.03, as cited by DOS.
Official sourceCommon trap: the wrong newspapers
Weeks in a newspaper not designated by the county clerk do not count toward the required publication.
Official sourceCommon trap: only one affidavit
Annex both newspapers' affidavits. One paper's proof is not enough.
Official sourceCommon trap: a PLLC on the plain LLC form
Domestic PLLCs use DOS-1709-f, not DOS-1708-f.
